These Terms of Service ("Terms") constitute a legally binding agreement between you and GTMVP Inc. ("Company," "we," "our," or "us") governing your access to and use of ClaudeSkillsHQ (the "Service"), including our website, marketplace, and all related services.

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Service.

2. Eligibility

4. Service Description

ClaudeSkillsHQ provides:

• A marketplace for browsing, purchasing, and downloading Claude AI skills
• Tools for creating custom Claude AI skills (Skill Builder)
• Integration guides and documentation for MCP (Model Context Protocol)
• User dashboard for managing purchased and created skills
• Community features and support resources

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time without prior notice.

5. Purchases and Payments

5.1 Pricing

All prices are displayed in U.S. Dollars (USD) and are subject to change without notice. We reserve the right to modify pricing at any time.

5.2 Payment Processing

Payments are processed securely through Stripe, a third-party payment processor. You agree to provide valid payment information and authorize us to charge your payment method for all purchases.

5.3 Refund Policy

We offer a 14-day money-back guarantee on all paid skill purchases. If you are not satisfied with your purchase for any reason, you may request a full refund within 14 days of the original purchase date.

To request a refund, please contact our support team at support@claudeskillshq.com with your order number. Refunds are typically processed within 5-7 business days and will be returned to your original payment method.

Please note: Subscription renewals (if applicable) and promotional/discounted purchases may have different refund terms, which will be clearly stated at the time of purchase.

5.4 Free Skills

Some skills are offered for free. We reserve the right to change any free skill to a paid offering at any time. Skills downloaded while free remain yours to use.

5.5 Taxes

You are responsible for any applicable taxes, duties, or fees associated with your purchases. Prices do not include taxes unless explicitly stated.

6. Intellectual Property Rights

6.1 Our Content

The Service, including all content, features, and functionality, is owned by GTMVP Inc. and is protected by United States and international copyright, trademark, patent, and other intellectual property laws.

6.2 Purchased Skills License

When you purchase a skill, we grant you a limited, non-exclusive, non-transferable, revocable license to:

• Download and use the skill for personal or commercial purposes
• Use the skill with Claude AI in accordance with Claude's terms of service
• Modify the skill for your own use (but not redistribute modified versions)

You may NOT:

• Resell, redistribute, or share purchased skills with others
• Remove copyright notices or attribution
• Use skills to create competing products or services
• Reverse engineer or decompile the skills (except as permitted by law)

6.3 User-Generated Content

Skills you create using our Skill Builder remain your property. By creating and storing skills on our Service, you grant us a worldwide, royalty-free license to host, store, and display your content as necessary to provide the Service.

6.4 Trademarks

"ClaudeSkillsHQ" and our logos are trademarks of GTMVP Inc. You may not use our trademarks without our prior written permission.

7. Prohibited Uses

You agree not to:

• Violate any applicable laws, regulations, or third-party rights
• Use the Service for any illegal, harmful, or fraudulent purpose
• Attempt to gain unauthorized access to the Service or other user accounts
• Interfere with or disrupt the Service or servers
• Upload viruses, malware, or other malicious code
• Engage in any automated use of the Service (bots, scrapers, etc.) without permission
• Impersonate any person or entity or misrepresent your affiliation
• Harass, abuse, or harm other users
• Collect user information without consent
• Use the Service to send spam or unsolicited communications

8. Content Guidelines

When creating or sharing content on the Service, you agree that your content will not:

• Infringe on intellectual property rights of others
• Contain illegal, offensive, or harmful material
• Violate privacy or publicity rights
• Contain false, misleading, or deceptive information
• Promote illegal activities or violence
• Include malicious code or security vulnerabilities

We reserve the right to remove any content that violates these guidelines or for any other reason at our sole discretion.

9. Third-Party Services

The Service integrates with and relies on third-party services including Claude AI (Anthropic), Stripe (payments), and others. Your use of these third-party services is subject to their respective terms of service and privacy policies. We are not responsible for third-party services or their availability.

10. Disclaimers and Limitations of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability or fitness for a particular purpose
• Warranties of non-infringement
• Warranties that the Service will be uninterrupted, error-free, or secure
• Warranties regarding the accuracy or reliability of content

10.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GTMVP INC. SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Any damages arising from your use or inability to use the Service
• Any damages arising from third-party content or services

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

10.3 Skills Performance

We do not guarantee that any skill will work as described, achieve specific results, or be compatible with your use case. Skills are provided "as is" and may require configuration or customization.

11. Indemnification

You agree to indemnify, defend, and hold harmless GTMVP Inc., its officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Content you create, post, or share through the Service

12. Dispute Resolution

12.1 Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

12.2 Arbitration

Any dispute arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules, except for disputes that may be brought in small claims court.

12.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

13. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Service will immediately cease.

Provisions that by their nature should survive termination (including disclaimers, limitations of liability, and dispute resolution) shall survive.

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

15.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control.
